This is an opportunity to build the legal function from the ground up at a high-growth clean energy company at the center of the AI infrastructure boom. You'll serve as a strategic partner to the executive team and your fingerprints will be on every major transaction we do. The right person is as comfortable negotiating a complex land lease as they are advising on capital structure, drafting board materials, or thinking through regulatory risk. You move fast without being reckless and understand that legal at a startup is as much about enabling deals as protecting against risk. You don't need experience in every area below, but you should bring a willingness to learn.
Responsibilities
Transactions & Commercial
- Lead negotiation and execution of power purchase agreements (PPAs), behind-the-meter agreements, and other commercial offtake contracts with data centers, colocations, and large customers.
- Negotiate and structure land option agreements, leases, easements, and purchase agreements for project sites across Texas and other target markets.
- Draft, review, and negotiate O&M agreements, equipment supply contracts, and other project-level agreements.
- Support interconnection agreements and utility contracts in coordination with the regulatory and development teams.
Finance & Capital Markets
- Lead legal workstreams for equity fundraising, from seed through growth rounds, including term sheet negotiation, due diligence coordination, and closing documentation.
- Structure and negotiate project finance agreements, tax equity transactions, construction loans, and back-leverage facilities in partnership with financial advisors and lenders.
- Advise on IRA tax credit structures, transferability transactions, and incentive monetization strategies alongside finance and external tax counsel.
- Maintain and manage the company's capitalization table, equity agreements, and investor relations documentation.
Corporate & Strategic
- Serve as a strategic legal advisor to the executive team on business decisions, risk management, and corporate governance.
- Build and maintain corporate legal infrastructure, entity structure, IP, employment agreements, equity plans, and compliance frameworks.
- Manage outside counsel relationships strategically, ensuring cost efficiency and appropriate use of specialized expertise.
- Develop repeatable legal playbooks and templates as the company scales its project pipeline.
Regulatory & Compliance
- Monitor and advise on federal and state regulatory developments affecting project development, power markets, and corporate operations.
- Ensure compliance with FERC, SEC (as relevant), state PUC requirements, and other applicable regulatory frameworks.
- Support permitting and land teams with legal review of regulatory submissions and agency agreements.
Qualifications
- J.D. from an accredited law school; active bar membership required.
- 7+ years of legal experience, with meaningful time spent on energy or related transactions, project finance, or infrastructure development — either at a leading law firm or in-house at a developer, independent power producer, or energy company.
Preferred Skills or Experience
- Experience with commercial contracts, project finance, and land agreements, ideally in the renewable energy sector.
- Exposure to venture or growth equity fundraising - term sheets, SAFEs, Series A/B documentation, etc.
- Comfortable operating as a generalist in a lean team; knows when to go deep and when to efficiently leverage outside counsel.
- Exceptional drafting and negotiation skills with the ability to move quickly without sacrificing precision.
- Strategic thinker who earns trust across the organization and can translate legal complexity into clear business guidance.
- Prior in-house experience at a startup or high-growth company strongly preferred.
